PART A
TERMS OF REFERENCE
- Introduction
The Dive Diva Fan Club (DDFC) is an initiative established, owned and managed exclusively by AsiaEvents Exsic Sdn. Bhd. (AEE), the organiser of the Malaysia International Dive Expo (MIDE).
DDFC serves as a platform to inspire, connect and empower women with an interest in scuba diving, freediving, marine conservation, ocean education, adventure travel and related activities.
Through DDFC, members are encouraged to participate in educational programmes, networking opportunities, conservation initiatives, community engagement and activities organised or endorsed by AEE. Membership in DDFC is voluntary and does not confer any ownership, governance, employment or decision-making rights within AEE or DDFC.
- Objectives
The objectives of DDFC are to:
- Promote greater participation of women in recreational and professional diving.
- Encourage responsible diving practices and marine conservation.
- Foster friendship, networking and knowledge sharing among members.
- Support MIDE initiatives and activities.
- Encourage lifelong learning through talks, workshops and educational programmes.
- Promote ocean sustainability and environmental awareness.
- Certification Requirement
This club is open to women divers holding a recognized scuba diving certification from Scuba Diver level onwards, including higher certifications such as
- Open Water Diver
- Advanced Open Water Diver
- Rescue Diver
- Divemaster
- Instructor or equivalent certifications from recognized training agencies.
- Governance
4.1 DDFC is wholly owned, administered and managed by AEE.
4.2 AEE shall have absolute authority over:
- governance;
- branding and identity;
- membership administration;
- appointments;
- ambassadors;
- committee appointments (if any);
- programmes and activities;
- benefits;
- sponsorship;
- collaborations;
- partnerships; and
- strategic direction.
4.3 AEE reserves the right to establish, amend, suspend or discontinue any programme, activity, committee, appointment or benefit at its sole discretion without prior notice.
4.4 Any committee, ambassador or volunteer appointed by AEE serves solely at the pleasure of AEE and may be replaced or removed at any time without assigning any reason.
4.5 All decisions made by AEE concerning DDFC shall be final and binding.
- Official Communications
Only AEE or persons expressly authorised in writing by AEE may issue official statements, announcements or communications on behalf of DDFC. Members shall not represent themselves as spokespersons or official representatives of DDFC without prior written approval.
PART B
MEMBERSHIP TERMS & CONDITIONS
- Definitions
For the purpose of these Terms:
- AEE means AsiaEvents Exsic Sdn. Bhd.
- DDFC means Dive Diva Fan Club.
- MIDE means Malaysia International Dive Expo.
- Member means an individual whose membership has been approved by AEE.
- Official Merchandise means products issued by AEE under the DDFC brand.
- Eligibility
Membership is open to:
- Malaysian citizens;
- Permanent residents;
- International applicants;
- Individuals aged eighteen (18) years and above.
- Membership Application
Applicants shall:
- complete the official application form;
- provide accurate information;
- pay the prescribed membership fee;
- comply with these Terms.
Submission of an application does not automatically constitute acceptance. AEE reserves the right to approve or reject any application without assigning any reason.
- Membership Package
The standard membership package includes:
- Official DDFC Membership Card
- Official DDFC T-Shirt
- Lifetime Membership
- Access to selected DDFC activities and member privileges
AEE reserves the right to revise membership benefits from time to time.
- Membership Fee
The membership fee is RM50.00.
The membership fee is:
- payable once;
- non-refundable;
- non-transferable.
- Membership Rights
Members may:
- participate in DDFC activities;
- attend eligible member events;
- enjoy member promotions where applicable;
- participate in activities organised by AEE.
Membership benefits remain subject to availability and may be amended by AEE at any time.
- Member Responsibilities
Members shall:
- uphold the reputation of DDFC, MIDE and AEE;
- act respectfully towards fellow members;
- comply with event rules;
- obey applicable Malaysian laws;
- maintain courteous behaviour both online and offline.
Members shall not:
- misuse the DDFC name or logo;
- create unofficial DDFC groups purporting to represent AEE;
- collect funds under the DDFC name;
- organise official DDFC events without written approval;
- engage in harassment, discrimination, bullying or abusive conduct;
- publish false or misleading information regarding DDFC or AEE;
- commercially exploit DDFC membership or branding.
- Dress Code
Members are encouraged to wear the official DDFC T-shirt during MIDE and DDFC activities to promote community identity and visibility.
- Payment
Payments may be made through payment methods approved by AEE including:
- Credit Card
- Debit Card
- Electronic Funds Transfer (EFT)
- Online payment gateway
Members are responsible for all banking charges, currency conversion fees and international transfer costs.
- Shipping
Where physical merchandise is involved:
Malaysia: 3–5 business days
International: 7–14 business days
Delivery timelines are estimates only.
AEE shall not be responsible for delays caused by courier companies, customs authorities, strikes, weather conditions or other circumstances beyond its reasonable control.
- Returns & Exchanges
Requests must be submitted within seven (7) days of receiving the item.
Exchanges are available only for:
- defective items;
- damaged items;
- incorrect items dispatched.
Cash refunds will not be provided.
- Import Duties
International members shall be solely responsible for all customs duties, taxes, import permits and related charges imposed by their respective countries.
- Intellectual Property
All intellectual property rights relating to DDFC, including but not limited to its name, logo, branding, artwork, publications, photographs, videos, digital content and promotional materials, remain the exclusive property of AEE. No member shall reproduce, distribute, modify, publish or commercially exploit any DDFC intellectual property without the prior written consent of AEE.
- Photography & Media Consent
Members acknowledge and consent that photographs, videos and recordings taken during DDFC or MIDE activities may be used by AEE for promotional, educational, archival and marketing purposes worldwide without compensation.
- Volunteer Participation
Members who volunteer during DDFC or MIDE activities do so on a voluntary basis. Volunteer participation does not create any employment, contractual or agency relationship unless expressly agreed in writing by AEE.
- Health & Safety
Members participating in diving, travel or outdoor activities shall ensure they are medically fit and possess the necessary qualifications where applicable. Members participate entirely at their own risk. AEE accepts no responsibility for injuries, accidents, illness, equipment loss or personal damage arising from participation in any activity.
- Liability
To the fullest extent permitted by law, AEE shall not be liable for any direct, indirect, incidental, consequential or special loss, injury, damage or expense arising from membership or participation in DDFC activities. Members agree to indemnify and hold harmless AEE, its directors, officers, employees, volunteers and partners against claims arising from the Member’s misconduct, negligence or breach of these Terms.
- Suspension & Termination
AEE may suspend, revoke or terminate membership immediately where a Member:
- breaches these Terms;
- damages the reputation of DDFC or AEE;
- engages in unlawful conduct;
- behaves in a manner considered detrimental to DDFC.
No refund shall be payable following suspension or termination. AEE’s decision shall be final.
- Privacy
Personal information shall be collected, processed, stored and managed in accordance with the Personal Data Protection Act 2010 (PDPA) and AEE’s Privacy Policy.
- Force Majeure
AEE shall not be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including natural disasters, pandemics, government restrictions, war, civil unrest, industrial disputes, acts of terrorism or failure of public utilities.
- Amendments
AEE reserves the right to amend, revise or replace these Terms and Conditions at any time.
The latest version published by AEE shall supersede all previous versions. Continued membership constitutes acceptance of the revised Terms.
- Acceptance
By submitting a membership application and paying the applicable membership fee, the applicant acknowledges that they have read, understood and agreed to be bound by these Terms of Reference and Membership Terms and Conditions.
- Social Media and Online Conduct
Members are encouraged to promote DDFC and MIDE positively through their personal social media platforms. Members shall not:
- Publish false, misleading or defamatory statements concerning DDFC, MIDE, AEE or its partners.
- Use offensive, discriminatory, abusive or inappropriate language while representing DDFC.
- Create unofficial social media pages or groups that imply official affiliation without written approval from AEE.
- Use DDFC branding or intellectual property in a manner that may mislead the public.
- Share confidential information relating to DDFC, MIDE or AEE.
Members are solely responsible for the content they publish on their personal social media accounts.
- Official Use of the DDFC Name, Logo and Branding
The names Dive Diva Fan Club (DDFC), Malaysia International Dive Expo (MIDE) and all associated logos, trademarks, artwork, slogans and branding elements are the exclusive intellectual property of AsiaEvents Exsic Sdn. Bhd. Members shall not, without prior written approval from AEE:
- Produce merchandise bearing the DDFC or MIDE name or logo.
- Use the DDFC logo for commercial or promotional purposes.
- Register any domain name, company, association or social media account using the DDFC name.
- Organise fundraising, sponsorship or commercial activities using the DDFC identity.
- Modify or reproduce official branding materials.
Any unauthorised use may result in legal action and immediate termination of membership.
- Event Participation and Diving Safety
Participation in DDFC activities, including diving, snorkeling, travel, workshops, conservation programmes and outdoor events, is entirely voluntary. Members acknowledge that:
- They are responsible for ensuring they possess the appropriate diving certification required for any activity.
- They are medically fit to participate.
- They shall comply with all safety procedures and instructions issued by organisers, instructors and dive operators.
- They participate entirely at their own risk.
AEE does not certify or guarantee the services provided by third-party dive operators, instructors, travel providers or service providers engaged during DDFC activities. Members are strongly encouraged to maintain adequate personal accident, travel and dive insurance.
- Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising in connection with DDFC shall be subject to the exclusive jurisdiction of the courts of Malaysia.
- Interpretation
Should any provision of these Terms become invalid, unlawful or unenforceable under applicable law, the remaining provisions shall remain in full force and effect. Failure by AEE to enforce any provision shall not constitute a waiver of its rights. In the event of any ambiguity or dispute regarding the interpretation of these Terms, the interpretation of AEE shall prevail.
